1. Introduction

These Terms of Service (“Terms”) describe how BluByte Software Solutions (“COMPANY”) provides design and development services (“Services”) to the client (“CLIENT”). By using our Services, the CLIENT agrees to these Terms.

2. Scope of Services

These Terms of Service (“Terms”) describe how BluByte Software Solutions (“COMPANY”) provides design and development services (“Services”) to the client (“CLIENT”). By using our Services, the CLIENT agrees to these Terms.

  • 2.1. All Services, deliverables, timelines, and project details will be defined in a separate Service Agreement or Statement of Work (SOW).
  • 2.2. The COMPANY may engage trusted third-party professionals or subcontractors as needed, without compromising quality or deadlines.

3. Payment Terms

  • 3.1. The CLIENT agrees to pay the fees outlined in the applicable Service Agreement or SOW.
  • 3.2. Invoice schedules, payment dates, and accepted payment methods will be clearly mentioned in the Service Agreement.
  • 3.3. All payments are non-refundable unless otherwise specified in the Service Agreement.

4. Intellectual Property Rights

  • 4.1. Any content or materials provided by the CLIENT remain the CLIENT’s property.
  • 4.2. All work created by the COMPANY—including code, designs, or documents—becomes the CLIENT’s property once full payment is made.

5. Confidentiality

  • 5.1. Both parties agree to protect any confidential or proprietary information shared during the project.
  • 5.2. Such information will not be shared with third parties unless permitted in writing or required by law.

6. Quality of Work & Team Allocation

The COMPANY is responsible for ensuring high-quality delivery and assigning qualified personnel for the project, as stated in the Service Agreement or SOW.

7. Dispute Resolution

  • 7.1. Any disagreement will first be addressed through direct discussion and good-faith negotiation.
  • 7.2. If unresolved, the parties agree to proceed with mediation before considering legal action.

8. Refund & Cancellation Policy

  • 8.1 Refunds
    • a. Full refund if the CLIENT cancels before the project begins.
    • b. If cancellation occurs after the start but before completion, a proportional refund may be issued based on completed work.
    • c. No refunds are provided after the project is fully delivered.
  • 8.2 Cancellations
    • a. The CLIENT must send a cancellation request to info@blubyte.in
    • b. The COMPANY may cancel the Services if the CLIENT violates the Terms or fails to make payments.

9. Limitation of Liability

  • 9.1. The COMPANY is not responsible for indirect, incidental, or consequential damages arising during or after the project.
  • 9.2. The COMPANY’s total liability will not exceed the total amount paid by the CLIENT for the Services.

10. Governing Law

These Terms are governed by the laws of Kolkata, India, without considering conflict-of-law rules.

11. Amendments

The COMPANY may update or change these Terms at any time. Continuing to use our Services after any update means the CLIENT accepts the revised Terms.
